CAPITAL RAISES

We assist companies in analyzing capitalization alternatives and accessing the capital markets for debt, equity and equity-related financing.

Private Debt, Equity and Equity-Related
We will act as agent in raising private capital for our clients. The types of private equity transactions we look for include venture capital for emerging growth companies, growth capital for more established companies, and leveraged acquisitions and recapitalizations for growth-oriented companies.

In arranging a private capital transaction, we will assist our clients through:

• Financial modeling and determation of the amount and type of capital to be raised
• Company due diligence
• Establishing an initial valuation range
• Establishing proposed terms of the financing
• Preparing the offering memorandum
• Preparation of roadshow materials
• Management of roadshow
• Utilizing our network to contact private capital sources
• Negotiating final terms of the financing
• Assisting in documentation

PIPEs
We will also assist public companies in accessing the private capital markets for debt, equity and equity-related financing.

Mezzanine and Bank Debt
Lastly, we assist both public and private companies in structuring/securing mezzanine and senior debt.
